Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, and services operated by Fillco Marketplace LLC (“Fillco,” “we,” “us,” or “our”), including the marketplace available at fillco.com (collectively, the “Services”). By creating an account, placing an order, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms, do not use the Services. You must be at least 18 years old and able to form a legally binding contract to use the Services.

Fillco operates a marketplace that connects independent food producers (“Producers”) with customers (“you” or “Customers”) who purchase shares of livestock and crops and other food products. Fillco facilitates the listing, ordering, payment processing, accounting, storage coordination, and logistics that allow Customers and Producers to transact.

Producers are responsible for raising, producing, and providing the food they list. Except where we expressly state otherwise, Fillco acts as an intermediary and is not the grower or producer of the products offered. Descriptions, husbandry claims, and farming practices are provided by Producers; while we work to present accurate information, we do not independently certify every claim.

Some features require an account. You agree to provide accurate, current information and to keep it up to date. You are responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorized use.

You may check out as a guest. If you later create an account using the same email address, prior guest orders associated with that email may be linked to your account so you can view your order history.

Fillco offers ownership shares — for example, a quarter, half, or whole share of an animal — as well as packaged products such as olive oil and sample boxes. When you purchase a share, you are reserving a defined portion of a Producer’s harvest, to be processed and delivered to you as described on the product page.

• Estimated yields and weights. Cuts, weights, and yields from whole-animal shares are estimates. Natural products vary, and actual quantities, cut selection, and packaging may differ from estimates without affecting the price you agreed to pay, unless a product page states otherwise.
• Harvest and ship windows. Shares are tied to a Producer’s growing and harvest schedule. Listed ship or delivery dates are targets and may shift due to animal readiness, weather, processing capacity, or other factors outside our control.
• Availability. Listings are offered while supplies last and may be limited, corrected, or discontinued at any time.

Producers set the base price for their products to reflect the real cost of raising them. Fillco charges a transparent platform fee that supports the marketplace, payment processing, storage coordination, and logistics. Where shown, the platform fee is displayed for transparency and is included in the total price you are charged at checkout.

All prices are in U.S. dollars. We strive for accuracy, but if a product is listed at an incorrect price due to an error, we may cancel or correct the affected orders and refund any amount charged in error.

Payments are processed by our third-party payment processor, Stripe. By providing a payment method, you authorize us and Stripe to charge that method for the amounts due, including the order total, applicable shipping, and taxes. Fillco does not store your full card number.

Pay in full or split payment

Certain products may offer a split-payment plan — typically a deposit of roughly 50% at checkout and the remaining balance charged automatically, off-session, to your saved payment method on or before the scheduled balance date shown at checkout. By choosing a split plan, you authorize Fillco to store your payment method and to charge the remaining balance, plus any applicable shipping, on the scheduled date without further action by you.

If a scheduled charge fails, we may retry it and will attempt to notify you. Unpaid balances may result in suspension of the order, cancellation, or collection of amounts owed, and may affect fulfillment and delivery.

Shipping charges

Unless a product is expressly marked as free shipping, shipping is calculated and charged when your order is fulfilled and a shipping label is purchased on your behalf. You authorize Fillco to charge your saved payment method for the actual cost of shipping at that time.

Taxes

You are responsible for any applicable sales or use taxes, which will be calculated and added where required by law.

Many products are perishable and require cold-chain handling. To protect quality and food safety, certain products (such as frozen beef and sample boxes) ship only via expedited 2-day services and on specific ship days, while shelf-stable products (such as olive oil) may ship by standard methods.

• Accurate address required. You are responsible for providing a complete, accurate shipping address and for ensuring someone is available to receive perishable deliveries. We are not responsible for losses caused by an incorrect address or a failure to promptly refrigerate or freeze perishable goods on arrival.
• Risk of loss. Title and risk of loss pass to you upon delivery to the carrier, except as required by applicable law.
• Delivery issues. If a perishable shipment arrives damaged, delayed in transit such that quality is compromised, or not at all, contact us promptly (see Section 8) so we can work with you and the carrier on a resolution.

Because our products are perishable and many shares are reserved against a Producer’s harvest, our cancellation and refund practices reflect the realities of farm-direct food.

• Before fulfillment. You may request to cancel an order before it has been processed for fulfillment. If a share has already been committed to a Producer’s harvest schedule, deposits or portions of the price may be non-refundable; we will tell you what applies to your order.
• Perishable goods. Perishable food items generally cannot be returned. If there is a problem with the quality or condition of your order on arrival, contact us within 48 hours of delivery with your order number and photos, and we will work with you on a replacement, credit, or refund as appropriate.
• Refunds. Approved refunds are issued to your original payment method. Shipping charges are generally non-refundable once a label has been purchased, except where required by law or where the issue resulted from our or the carrier’s error.

Information on the Services about products, husbandry practices, nutrition, and food terms is provided for general informational purposes and is not medical, nutritional, or professional advice. Product and labeling claims (such as “grass-finished,” “organic,” or “no added hormones”) originate with Producers or certifying bodies; you should consult the Producer or the certifying authority for specifics.

Follow safe food-handling, storage, and cooking practices. If you have a food allergy or sensitivity, review product information carefully and contact us with questions before ordering.

If you participate as a Producer, you additionally agree that you are solely responsible for the products you list, including their description, quality, safety, lawful production, and compliance with all applicable agricultural, food-safety, labeling, and licensing requirements. You grant Fillco the right to list, market, store, coordinate fulfillment for, and sell your products through the Services.

Producer payouts are disbursed through our payment processor’s connected accounts. You are responsible for maintaining accurate payout and tax information. Additional written agreements between you and Fillco, if any, supplement these Terms.

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose;
• Misrepresent your identity, submit false information, or use another person’s payment method without authorization;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
• Scrape, harvest, or collect data from the Services except as expressly permitted; or
• Resell products obtained through the Services without our written permission.

The Services, including text, graphics, logos, photographs, and software, are owned by or licensed to Fillco and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. You may not copy, modify, distribute, or create derivative works from our content without our prior written permission. “Fillco” and related marks are trademarks of Fillco Marketplace LLC.

THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, FILLCO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that estimates of yields, weights, or delivery dates will be exact. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, FILLCO AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR ANY PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES OR A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Fillco Marketplace LLC and its owners, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Fillco agree that any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts, except where applicable law provides otherwise.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
